Short Term Performance Contract with Part Time Empaneled Employee

The following outlines the terms and conditions of employment with Maxxmann Communications Pvt Ltd. The Company reserves the right to change these terms and conditions as necessary, with due notice.

While employed by the Company, you agree to work on a full-time basis exclusively for the Company and agree that you shall not, while you are employed by the Company, be employed or engaged in any capacity, in promoting, undertaking or carrying on any other business that competes with the Company or interferes or could reasonably interfere with your duties to the Company without our prior written permission.

Hours of Work

The company's core hours of operation are Monday to Friday from 9:30 am to 7:00 pm

Employees working from home are expected to work a minimum of 175 hours per month.

Employees associated as Freelancers are free to work at any point of time .Work monitoring is done through quality of work and delivery within predicedid time frames

Overtime Payment of overtime, for overtime eligible positions, will be paid for all hours worked in excess of 45 hours within one week.
Payroll Schedule Your salary will be paid to you on a weekly/biweekly/semimonthly/monthly basis, less required deductions,(through direct deposit)OR(by cheque).
Vacation You will be entitled to Number (X) weeks of vacation annually. OR You will accrue vacation at a rate of X.XX days per month. Any further increase is subject to policy. Vacation is to be taken at such time as is determined by or acceptable to the Company.
Benefits You shall be entitled to participate in all benefit plans of Company as may be made available to employees of Company from time to time for which you are eligible. You will receive complete details of all benefits plans as part of your new employee orientation, and enrollment will take place (immediately)OR(once you meet the eligibility criteria).
Travel As per the requirements of your position, you will be expected to travel up to XX% of the time.
Probationary To assess your fit within Company, the first three (3) months of your.
Period Employment will constitute a probationary period. At any time during this probationary period,Company may terminate your employment without cause and without advance notice or pay in lieu of notice. If this occurs, we would have no further obligation to you, financial or otherwise..
Policies and Standards Company has established a variety of policies and standards that ensure a safe, enjoyable working environment. During the period of your employment with us, you agree to be bound by these policies and standards, and any future policies and standards that are reasonably introduced by the Company.It is agreed that the introduction and administration of these policies is within the sole discretion of Company and that these policies do not form a part of this Agreement. It is agreed that if Company introduces, amends or deletes employment-related policies as conditions warrant that such introduction, deletion or amendment does not constitute a breach of this Agreement.
Confidentiality and Intellectual Property You hereby agree that, while you are employed by Company and for one (1) year following the termination of your employment with Company, you will not (i) recruit, attempt to recruit or directly or indirectly participate in the recruitment of, any Company employee or (ii) directly or indirectly solicit, attempt to solicit, canvass or interfere with any customer or supplier of Company in a manner that conflicts with or interferes in the business of Company as conducted with such customer or supplier.
Representation You hereby represent and warrant to Company that you are not party to any written or oral agreement with any third party that would restrict your ability to enter into this Agreement or the Confidentiality and Proprietary Information Agreement or to perform your obligations here under and that you will not, by joining Company, breach any non-disclosure, proprietary rights, non-competition, non-solicitation or other covenant in favour of any third party.
Changes to Duties and/or Compensation If your duties or compensation should change during the course of your employment with Company, the validity of our agreement will not be affected. In addition, if one or more of the provisions in our agreement are deemed void by law, then the remaining provisions will continue in full force and effect.
Resignation Should you wish to resign your employment with Maxxmann, you will be required to provide Number (XX) weeks' written notice to enable us transition your work.
Termination

Company may terminate your employment at any time for cause without giving any notice.

After the end of your probationary period, Company may terminate your employment without cause at any time by providing you with the minimum notice, or pay in lieu of such notice.

Legal Advice

If you are uncertain about the contents of this offer, we suggest that it may be advisable to seek independent legal advice prior to signing.

Special Mention It is agreed that the Company reserves the right to change these terms and conditions as necessary, with due notice of one week only.

Responsibilities Your Empanelment responsibilities will be shared by your Team Lead.
Payment Your wages will be XXX INR per Hourly according to number of hours worked. Any tax or statutory dues payable are included in the agreed per hour wages. 80% of wages will be released on monthly basis and remaining 20% wages will be released after successful completion of testing by Quality Analyst within a period of 15 days. No extra wages will be paid for fixing errors/bugs detailed in QA.
Status

Maxxflex part time empaneled employee will render services for a fixed period of six months from Start Date and will continue to work at same rate/ hour upto six months.

That at various times I will be furnishing undertakings in terms of my empanelment for various projects and tasks and I agree that, that I shall perform them in the terms of the undertakings, Terms and Conditions of Empanelment and Non Disclosure Agreement. Failure to do so may be considered an infringement and violation of the Non Disclosure Agreement and as such terms of Non Disclosure Agreement may be enforced.

Upon the completion of a particular Project or process of work, you may be assigned to other work / processes as deemed fit by the management during the course of your engagement.

Since you are being engaged for a fixed period of six months, you will neither have any right nor a lien on the job held by you.

This contract commences on and ends on, subject to your satisfactory job performance.

Your performance will be reviewed regularly and at any point of time if the performance is not found to be satisfactory, management will be free to end the contract immediately without any notice or compensation for the same.

I undertake that I shall upon completion of the task and projects shall delete all details, codes, data or anything protected by my agreements from all my systems and machines. I also undertake that I shall not copy and store the code or any other information in any form.

Hours of Work

The company's core hours of operation are Monday to Friday from 9:30 am to 7:00 pm

Professionals working Maxxflex are expected to work for defined no. of hours, minimum working hours may be zero and maximum working hours depends upon the availability of project or task.

You need to install tracker in your system so that tracking for agreed hours may be done.

Work monitoring is done through quality of work and delivery within predecided time frames.

The Company will have the last word on the work done and if it has been completed to company's satisfaction

Payment Schedule You will be paid on a monthly basis, less required deductions (i.e. TDS), any taxes, statutory deduction will be deducted before release of wages.
Probationary Period There is no probation period in this service
Policies and Standards

It is agreed that if Company introduces, amends or deletes service - related policies as conditions warrant that such introduction, deletion or amendment does not constitute a breach of this service.

That empaneled employee shall not work for any project, job or task under this service during work hours of his any other empanelment. This company shall not be responsible any contravention of this rule and policy.

Vacation / Leave You cannot go on a unplanned leave or planned leave without sanction for more than two days during the pendancy of project as the targets has to be met. In case of extended leave you may work from anywhere but work progress should be there and recorded as planned.
Confidentiality and Intellectual Property The service is conditional upon you agreeing to and abiding by the "Non Disclosure Agreement." Attached Schedule "B."
Non Solicitation

You hereby agree that, while you are on service with this company and for three (3) years following the termination of your service with company, you will not

(i) recruit, attempt to recruit or directly or indirectly participate in the recruitment of, any company empaneled employee or

(ii) directly or indirectly solicit, attempt to solicit, canvass or interfere with any customer or supplier of Company in a manner that conflicts with or interferes in the business of company as conducted with such customer or supplier.

(iii) That you will not work on similar projects or worked with the similar company with any of its competitors.

Changes to Duties and/or Compensation If your duties or compensation should change during the course of your service with company, the validity of our service will not be affected. In addition, if one or more of the provisions in our service are deemed void by law, then the remaining provisions will continue in full force and effect.
Termination of Empanelment and Service Should you wish to abandon your service with company, you will be required to provide 2 weeks' written notice to enable us transition your work. Company may terminate your empanelment at any time for cause without giving any notice.
